OPSI - UNENACTED working proposal v308 | 2026-10-28T08:16:47+00:00 | Corpus 85 DRAFT ORDER REGULATION REGULATION RESPECTING ORGANIZATION OF THE ORDER, ELECTIONS AND ITS HEAD OFFICE I - COMPOSITION AND REGIONAL REPRESENTATION Section 1 | ART_9HZF0AUXV89C7NX6 | Version 3 This regulation is made by the board of directors under section 65 and paragraphs a, b, e and f of section 93 of the Professional Code, within the limits of the Act. It takes account of the Office’s applicable guidelines, is transmitted to the Office and is published on the Order’s website under section 95.1 of the Code. This Regulation governs the regular board, elections, general meetings and head office of the Order within the limits of sections 61, 65, 78 and 93 of the Professional Code. The first board is governed separately by transitional provisions. Section 2 | ART_E2CFRYLZ509717EP | Version 3 The board has eight directors including its president: six directors elected from among eligible members, including the president, and two appointed by the Office des professions du Québec under section 78 of the Professional Code. The president is selected from the six elected directors and occupies no additional seat. When section 77.1 of the Professional Code applies, an additional director aged 35 or under is appointed under the Code. The board may then exceptionally have nine directors; this does not establish a ninth permanent seat. Section 3 | ART_L7ZXZPMWT1SQ02GD | Version 3 Four of the six elected seats are assigned to four distinct electoral regions: 1° East: Bas-Saint-Laurent (01), Saguenay–Lac-Saint-Jean (02), Capitale-Nationale (03), Côte-Nord (09), Gaspésie–Îles-de-la-Madeleine (11); 2° West: Outaouais (07), Abitibi-Témiscamingue (08), Nord-du-Québec (10), Laurentides (15); 3° Centre: Mauricie (04), Estrie (05), Chaudière-Appalaches (12), Centre-du-Québec (17); 4° South and metropolitan: Montréal (06), Laval (13), Lanaudière (14), Montérégie (16). Official administrative boundaries apply. Section 4 | ART_TSLDWN3UX3CCSCLG | Version 3 One director is elected in each of those four electoral regions and two additional directors are elected province-wide. Professional domicile recorded on the roll determines candidacy in an electoral region in accordance with the Code. The four regional seats promote representation of at least four administrative regions and provide for representation outside the Communauté métropolitaine de Montréal when filled. Elections do not confer a mandate to represent private interests. II - ELIGIBILITY, ELECTIONS AND TERMS Section 5 | ART_TEA71G9JMWJH20DH | Version 2 A member entered on the roll is eligible if legally entitled to practise, compliant with the Professional Code and free of statutory disqualification. Retired members are not eligible where the law requires practising status until practice rights are reactivated. Appointed directors are selected exclusively by the Office. Section 6 | ART_574P7ED3PRQ1K27R | Version 4 The secretary publishes the election notice, seats to be filled, candidacy requirements, calendar and voting instructions within the statutory periods. Each nomination includes declarations of professional domicile, independence, relevant interests and acceptance of office. For the first election, the timetable ensures voting and the six elected directors taking office as soon as reasonably possible and no later than one year after the first board took office, under section 56 of the Act. The notice states that deadline and the subsequent choice of president from among the six elected directors. Section 7 | ART_BD03PVAZQTH01QCL | Version 2 Elections are conducted by verifiable secret ballot, including electronically if legal safeguards for privacy, integrity, accessibility and recounts are met. A member votes only in the constituencies to which they are legally assigned. The secretary retains the record and audit evidence as legally required. Section 8 | ART_GJKL2Y7CU83REAXZ | Version 4 The president is elected by secret ballot of the elected and appointed directors from among the six elected directors who stood for an elected seat, under section 2 of the Act and paragraph b of the first paragraph of section 64 of the Professional Code. The result is recorded in the minutes. The president remains one of the six elected individuals; no seventh elected seat or additional presidential seat is created. Section 9 | ART_J6GU089U4BDXNW92 | Version 3 Elected directors serve three-year terms subject to statutory rules, duly established initial staggering and applicable term limits. A published calendar staggers elections so all six elected seats do not fall vacant at once. Appointed directors serve the term established by the Code. Section 10 | ART_H6RLWGE3U6FV1XYS | Version 2 Vacancies are filled under the Code, including a by-election or legally permitted appointment, respecting the affected regional seat. The secretary discloses vacancies, action taken and expected replacement dates. A temporary vacancy does not, by itself, invalidate lawful decisions made with a quorum. III - BOARD OPERATION, MEETINGS AND HEAD OFFICE Section 11 | ART_NUXS7APEBWUHWB0M | Version 2 The board quorum is that prescribed by law; absent a stricter mandatory rule, it is a majority of directors in office, never below a statutory minimum. Decisions are made by a majority of votes cast unless a valid law or regulation prescribes a special majority. Conflicted directors abstain as required. Section 12 | ART_MM64QGUZ3NXY23G6 | Version 2 The annual general meeting is convened within statutory timelines by means reasonably accessible to members. Its notice sets out the time, venue or platform, agenda, relevant records, voting rights and participation arrangements. Special meetings follow statutory notice rules. Section 13 | ART_RMUFBKNS4BPCBJGX | Version 2 The quorum at general meetings is twenty-five voting members or five percent of voting members, whichever is smaller, without prejudice to any higher requirement imposed by the Code. Quorum is documented and, if absent, only steps authorized by law may be taken. Section 14 | ART_T9CKHZGDQV688V3V | Version 2 The board maintains annual conflict-of-interest disclosures, requires recusal for actual, potential or apparent conflicts and ensures mandatory institutional training. Relations between the Order and the Foundation are subject to independent decisions and auditable transactions. Section 15 | ART_L1MFVPCSFMEY1NFH | Version 2 The Order’s head office is located in Repentigny, Québec, under paragraph f of section 93 of the Professional Code. The board publishes the actual administrative street address separately once established. The Foundation determines its own head office independently. Section 16 | ART_1DH72J4PGFHXS721 | Version 3 The provisions needed to organize the first election take effect early enough to meet the deadline in section 56 of the Act and apply to preparations and voting during initial governance. The regular board’s operating rules take effect when it assumes office. No provision requires waiting until the first board ends or the registry is activated before organizing the election.
